Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of StayReo POS, a point-of-sale software and related services provided by StayReo ("Company", "we", "us", or "our").
These Terms explain:
- Who can use StayReo POS and under what conditions
- How subscriptions, billing, cancellations, and refunds work
- Your responsibilities as a business user
- How data, integrations, and third-party services are handled
- Our legal limitations and protections
By accessing or using StayReo POS, you agree to these Terms. If you do not agree, you should not use the Service.
1. Parties & Acceptance
These Terms govern access to and use of the StayReo POS software and related services (“Service”) provided by StayReo (“Company”, “we”, “us”). By creating an account, signing an order form, or using the Service, the business entity you represent (“Customer”) agrees to these Terms.
2. Services Covered
The Service includes:
- (a) Cloud-hosted POS web application and features generally made available by StayReo
- (b) Optional third-party integrations (payment gateways, delivery platforms, accounting tools, etc.), subject to availability and each partner's terms
- (c) Any separately purchased hardware, if offered
StayReo may improve, modify, or discontinue features from time to time.
3. Eligibility & Scope
- The Service is intended solely for business (B2B) use
- Designed for restaurants, cafés, and similar food & beverage merchants
- Customer is responsible for all actions taken by its authorized users
4. Account & Customer Obligations
Customer agrees to:
- Provide accurate and current business information
- Maintain the confidentiality of account credentials
- Comply with all applicable laws (tax, invoicing, F&B regulations, data protection, payments)
- Refrain from misuse, including reverse engineering, introducing harmful code, spamming, or illegal activities
Customer is solely responsible for:
- Device compatibility and internet connectivity
- Accuracy of menus, pricing, taxes, inventory, and data entered
- Business decisions made using the Service
5. Fees, Billing & Taxes
- Subscriptions are pre-paid (monthly or yearly) per published pricing or executed order form
- Fees are exclusive of all applicable taxes; Customer bears responsibility for taxes, duties, and bank or FX charges
Auto-renewal:
- Subscriptions automatically renew for the same term unless canceled before the renewal date
- No mid-term refunds
- Access continues until the end of the paid subscription term
6. Cancellations & Refunds
Monthly Plans
- No refunds
- Cancellation prevents future auto-renewal only
- Service access continues until the end of the paid billing cycle
Yearly Plans
- Include a one (1) month free trial
- Cancellation during the trial incurs no charges
- After the trial ends and payment is processed, the yearly subscription is non-refundable
7. Integrations & Third-Party Services
- Integrations are provided on an "as available" basis
- StayReo may add, modify, or discontinue integrations at any time
- Third-party services operate under their own terms and privacy policies
- StayReo is not responsible for third-party service availability, performance, or actions
8. Hardware (If Offered)
- Hardware, if available, is sold separately
- Covered only by manufacturer warranties, if applicable
- Installation, setup, and maintenance remain the Customer's responsibility unless otherwise agreed in writing
9. Data & Privacy
StayReo processes data in accordance with its Privacy Policy.
Customer agrees to:
- Obtain all required consents from diners, staff, and other individuals
- Ensure lawful collection and submission of personal data
- Comply with all applicable data protection laws
10. Intellectual Property
- All rights, title, and interest in the Service, software, documentation, and branding remain the exclusive property of StayReo
- Customer is granted a limited, non-exclusive, non-transferable, revocable license to use the Service during an active, paid subscription term
11. Confidentiality
Each party agrees to:
- Protect the other party's confidential, non-public information
- Use such information solely for purposes related to these Terms
12. Warranties & Disclaimers
The Service is provided "as is" and "as available."
To the maximum extent permitted by law, StayReo disclaims all warranties, including:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
StayReo is not responsible for losses arising from:
- Business decisions or pricing errors
- Regulatory or tax non-compliance
- Third-party outages or failures
- Internet, hardware, or connectivity issues
13. Limitation of Liability
To the maximum extent permitted by law:
- StayReo's total aggregate liability shall not exceed the fees paid by Customer during the twelve (12) months preceding the claim
- StayReo shall not be liable for indirect, incidental, special, punitive, or consequential damages
- Including loss of profits, revenue, data, or goodwill
14. Indemnity
Customer agrees to defend, indemnify, and hold harmless StayReo from claims, damages, or liabilities arising from:
- Customer content or data
- Unlawful use of the Service
- Violation of these Terms or applicable laws
15. Suspension & Termination
StayReo may suspend or terminate access in cases of:
- Non-payment
- Suspected fraud or security risks
- Material breach of these Terms
Upon termination, Customer should export available data before access ends.
16. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Courts located in Gujarat shall have exclusive jurisdiction.
17. Changes to These Terms
- StayReo may update these Terms periodically.
- Material changes will be reflected by updating the "Last Updated" date and, where appropriate, providing reasonable notice.
